W dniu 7 czerwca 2022 roku zawarliśmy umowę sprzedaży wszystkich należących do Spółki udziałów w spółce PU Group Ltd. z siedzibą w Londynie („PUG”), właściciela marki SPOKO.APP oraz Payment and security solutions World Wide AB z siedzibą w Stallbacken („PASS”). Decyzja o sprzedaży podyktowana jest najlepszym interesem Spółki oraz maksymalizacją wartości PUG. Nabywca SPOKO.APP, posiadający łącznie 100% akcji PUG jest w stanie uzyskać dla Spoko.app dodatkowe źródła finansowania w krótkim terminie, a także przyczynić się do jej rozwoju i ekspansji na rynkach międzynarodowych. Co istotne nabywca wprowadzi akcje spółek PUG i PASS do wehikułu typu SPAC („SPAC”) (ang. Special Purpose Aquisition Company) wprowadzonego do obrotu na rynku giełdowym w Londynie. Zapłata ceny za udziały PUG i PASS nastąpi w akcjach spółki SPAC, po wniesieniu do niej aktywów PUG i PASS oraz rozpoczęciu notowań akcji SPAC na giełdzie w Londynie.
Spółka wskazuje, że upublicznienie aktywów PUG i PASS umożliwi wycenę tych aktywów na giełdzie londyńskiej oraz zapewni finansowanie zaplanowanej ekspansji międzynarodowej Spoko.app, ze środków będących w dyspozycji SPAC. Pragnę podkreślić, że rynek londyński jest jednym z najbardziej dojrzałych rynków fintech, co gwarantuje stabilny rozwój Spoko.app. Dodatkowo wskazuję, że ostateczny termin na wprowadzenie PUG oraz PASS do SPAC i rozpoczęcie notowań wynosi 5 miesięcy od dnia zawarcia umowy. Oznacza to, że SPAC będzie w publicznym obrocie na giełdzie londyńskiej do dnia 7 listopada 2022 r.
PUG (Spoko.app) pozostaje głównym i strategicznym aktywem Spółki wokół którego Spółka buduje dalszą strategię. W przypadku, gdyby nie doszło do wniesienia aktywów do SPAC, we wskazanym terminie, Spółka otrzyma zwrot całości udziałów PUG i PASS.
Dnia 18 sierpnia 2021 roku Spółka zawarła umowę sprzedaży 8.111.158 akcji (stanowiących 66,90% kapitału zakładowego) spółki International Gaming Systems AB z siedzibą w Szwecji pomiędzy Emitentem, a spółką Global Direct Partners AB z siedzibą w Szwecji za łączną kwotę 30 mln zł.
Zgodnie z informacjami przekazanymi Państwu w komunikacie z dnia 12 lipca 2022, Spółka zawarła z kupującym aneks do umowy sprzedaży, dzięki któremu cena sprzedaży wzrosła do 31,5 mln zł. Zapłata ceny ma nastąpić do 12 grudnia 2022 roku. Dodatkowo wynegocjowano w aneksie, że rozliczenie pomiędzy Spółką a kupującym może nastąpić w formie zapłaty ceny gotówką i / lub akcjami SPAC w którym znajdą się Spółki PUG i PASS, co może umożliwić Spółce zwiększenie zaangażowania w PUG (Spoko.app).
Pytacie Państwo również, słusznie, o wprowadzenie do obrotu akcji serii D Spółki dlatego wyjaśniam, że wszelkie dotychczasowe opóźnienia w tym zakresie leżą w gestii inwestorów, którzy objęli te akcje, i związane są z sytuacją z jaką borykaliśmy się w wyniku wybuchu pandemii COVID-19. Wskazani inwestorzy pochodzą ze Szwecji i nie posiadają rachunków inwestycyjnych w Polsce. Pomimo licznych upomnień ze strony Spółki nie mieli możliwości wizyty w Polsce i nie założyli rachunków inwestycyjnych.
Spółka otrzymała jednak informacje, że wskazani akcjonariusze zawarli porozumienie ze spółką Fintech Capital Investors Scandinavia AB, która będzie ich reprezentować w zakresie rejestracji akcji serii D w Krajowym Depozycie Papierów Wartościowych. Wierzymy, że powyższe porozumienie doprowadzi do szybkiego wprowadzenia akcji do obrotu. Spółka będzie na bieżąco komunikować postęp prac w tym zakresie.
Z przykrością muszę zakomunikować, że Spółka rozważa podjęcie niezbędnych kroków prawnych wobec osób, które umieszczają w portalach internetowych, np. bankier.pl, nieprawdziwe informacje na temat funkcjonowania Spółki oraz groźby w kierunku Zarządu Spółki. Takie działania są prowadzone ewidentnie na szkodę Spółki a tym samym na szkodę Państwa – naszych akcjonariuszy. Rozpowszechniane publiczne nieprawdziwe informacje, nie tylko mają wpływ na kurs akcji Spółki, ale również podważają jej wiarygodność w oczach inwestorów, wobec czego nie możemy pozostać obojętni.
Korzystając z okazji, Zarząd Spółki chciałby serdecznie podziękować akcjonariuszom za wkład w rozwój Spółki oraz prosić o dalsze zaufanie.
Przed Spółką bardzo dużo pracy w roku 2022, do którego podchodzimy z jeszcze większym zapałem, gdyż możliwość upublicznienia naszych aktywów na rynku londyńskim daje nam jeszcze większe możliwości rozwoju. Tak jak komunikowaliśmy, decyzje o kolejnych strategicznych krokach w rozwoju Spółki zostaną zakomunikowane do dnia 31 sierpnia 2022 r., ale pragnę podkreślić, że Spółka jeszcze mocniej zaangażuje się i będzie rozwijać projekty z zakresu Fintech.
